Terms of use

These terms are an agreement between you and NSEW Trading Company LLC ("NSEW", "we" or "us") about your use of the Ripe Rewards app on iPhone and Android, the web version of the app, and our website at rewards.ripecannabisny.com (together, "Ripe Rewards"). You agree to these terms when you sign in, by tapping Agree and email me a code, and again when you agree to a new version in the app. If you don't agree, don't use Ripe Rewards.

Our daily spin promotion has its own official rules, which you accept in the app before you spin. If these terms and the official rules conflict about the promotion, the official rules control. Our privacy policy explains how we handle your information.

1. Who can use Ripe Rewards

You must be 21 or older to use Ripe Rewards, and you must be in New York State whenever you spin. You must use an email address that is yours, and you may have only one account.

2. Your account

Your account is your email address, and we email you a code to sign in. Anyone who can read the email at your address can sign in to your account, so keep your email secure and never share a code. If you lose access to your address or think someone else is using your account, contact us at ripecannabis@gmail.com.

3. What Ripe Rewards does, and doesn't do

Ripe Rewards shows our store's hours and updates, runs our daily spin promotion, and holds the prizes you win until you use them at our counter. It sells nothing: you can't order or pay for products in it, and product availability and prices are set at the store. Nothing in Ripe Rewards is medical advice.

4. Prizes

Prizes are coupons and store-branded merchandise, won and used as the official rules and each prize's own terms describe. Prizes have no cash value, can't be transferred or sold, and can be used only by the account holder, in person at our store, before they expire. We may refuse or cancel a prize that was won or used in breach of these terms or the official rules. Deleting your account forfeits any prize you have not used.

5. Fair play

To keep the promotion fair for everyone, you agree not to:

• use more than one account, or an email address that isn't yours;

• give false answers to our age or location questions, or spin while outside New York;

• use bots, scripts, emulators, or modified or tampered-with devices or apps, or try to get around our device checks, limits or security;

• copy, modify, reverse engineer or interfere with Ripe Rewards, or access it other than through the app, the web version and our website;

• sell, trade or transfer prizes or accounts;

• harass or abuse our staff or other customers; or

• use Ripe Rewards for anything illegal.

Ripe Rewards checks that it is running as a genuine app on a genuine device or browser. If yours fails these checks, you may not be able to spin until a check passes.

6. Suspending or closing an account

We may suspend or close your account, and cancel prizes you have not used, if we reasonably believe you have broken these terms or the official rules, or if the law requires it. If you think we have made a mistake, contact us. You can delete your account at any time in the app, on our website, or by emailing us; our privacy policy explains what happens to your information.

7. Emails and notifications

Sign-in codes are sent by email. We send notifications only if you turn them on (a daily spin reminder, and store updates), and you can turn them off at any time in the app or in your phone's settings.

8. Our rights in Ripe Rewards

Ripe Rewards, and our names, logos and content in it, belong to us or our licensors. We give you a personal, limited, non-exclusive, non-transferable and revocable license to use Ripe Rewards for your own non-commercial purposes, as these terms allow. We keep all other rights.

9. Other companies' services

Ripe Rewards relies on services from other companies, including Apple, Google, Cloudflare and your mobile carrier. Their own terms apply to your use of their services, and we aren't responsible for them.

10. Changes

We may change, pause or stop Ripe Rewards or any part of it, for example for maintenance or because the law changes. Changes to a running promotion follow its official rules. We may update these terms. We will post the new version in the app and on our website with the date it takes effect, and if a change is significant, we will tell you in the app before it takes effect.

11. Disclaimers

Ripe Rewards is provided "as is" and "as available". To the fullest extent the law allows, we make no warranties about it, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We don't promise that Ripe Rewards will always be available, uninterrupted, secure or without errors.

12. Limits on our liability

To the fullest extent the law allows, NSEW, its owners and employees, and its service providers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any lost profits, data or goodwill, arising from Ripe Rewards or these terms. Our total liability for all claims about Ripe Rewards or these terms is limited to one hundred dollars ($100). Some laws don't allow these limits, so they may not all apply to you.

13. Your responsibility to us

If you break these terms or the law while using Ripe Rewards, and a claim is made against us because of it, you agree to cover our reasonable losses and costs from that claim, including reasonable lawyers' fees, to the extent the law allows.

14. Disputes

These terms are governed by New York law, without regard to its conflict-of-law rules. Any dispute about Ripe Rewards or these terms will be decided only by the state courts located in Schenectady County, New York, or the United States District Court for the Northern District of New York, and you and we agree to those courts' jurisdiction, except that either of us may bring a claim in small claims court if it qualifies. You and we each agree to bring claims only individually, and not as a plaintiff or class member in any class or representative proceeding.

15. If you use the iPhone app

These terms are between you and us, not Apple, and we, not Apple, are solely responsible for the iPhone app and its content. Your license to use the iPhone app is limited to Apple-branded devices that you own or control, as the App Store's Usage Rules allow. Apple has no obligation to provide any maintenance or support for the app. If the app fails to conform to any warranty that applies, you may notify Apple, and Apple will refund the purchase price, if any (the app has none); to the fullest extent the law allows, Apple has no other warranty obligation for the app, and any other claims, losses, liabilities, damages, costs or expenses from a failure to conform to a warranty are our responsibility, as these terms provide. Apple is not responsible for addressing any claims by you or anyone else relating to the app or your possession or use of it, including product liability claims, claims that the app fails to conform to any legal or regulatory requirement, and claims under consumer protection, privacy or similar laws. If anyone claims that the app or your possession or use of it infringes their intellectual property rights, we, not Apple, are responsible for investigating, defending, settling and discharging that claim. You confirm that you are not located in a country subject to a U.S. government embargo or designated by the U.S. government as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties. You must comply with any third-party terms that apply when you use the app, such as your wireless carrier's. Apple and its subsidiaries are third-party beneficiaries of these terms, and once you accept them, Apple may enforce them against you as a third-party beneficiary. 16. General

These terms, the official rules and our privacy policy are the whole agreement between you and us about Ripe Rewards. If a court finds part of these terms unenforceable, the rest still applies. If we don't enforce a term right away, we can still enforce it later. You may not transfer your rights under these terms; we may transfer ours to whoever takes over Ripe Rewards. We may send you notices in the app or on our website.
